These Terms form a legally binding agreement between you and Roadside Neighbor LLC governing your use of the Roadside Neighbor apps, website, and related services.

  • Roadside Neighbor is a marketplace, not a service company. We connect you with independent Service Providers. We do not tow vehicles, change tires, or perform any service ourselves.
  • Service Providers are independent contractors, not our employees or agents.
  • Prices may change if your vehicle or situation differs from what you described. The quote you see is an estimate based on the information you give us.
  • Photographs, GPS location, and timestamps are collected and used to resolve disputes. Required photos must be uploaded before a Job can be marked complete.
  • Disputes are resolved by binding individual arbitration, not in court. You waive your right to a jury trial and to participate in a class action. You may opt out within 45 days.
  • You must be 18 or older to use the Platform.
  • If you are in danger, call 911. This is not an emergency service.

EXCEPT FOR LIMITED CLAIMS DESCRIBED THERE, YOU AND ROADSIDE NEIGHBOR AGREE THAT DISPUTES WILL BE RESOLVED BY INDIVIDUAL BINDING ARBITRATION, NOT IN COURT, AND YOU WAIVE YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN ANY CLASS OR REPRESENTATIVE ACTION. YOU MAY OPT OUT WITHIN 45 DAYS UNDER SECTION 41.7.

ROADSIDE NEIGHBOR DOES NOT PERFORM SERVICES. Roadside Neighbor is a technology platform only. All services are performed by independent Service Providers.

ROADSIDE NEIGHBOR DOES NOT PERFORM BATTERY PROGRAMMING. Certain vehicles require battery programming or registration after installation. Roadside Neighbor and its Service Providers do not perform programming. Programming is your responsibility (Section 11.10).

ROADSIDE ASSISTANCE IS NOT AN EMERGENCY SERVICE. If you are in danger, injured, or in an unsafe location, call 911.

PART I — GENERAL PROVISIONS

1Acceptance of These Terms

These Terms of Service ("Terms") form a legally binding agreement between you and Roadside Neighbor LLC ("Roadside Neighbor," "we," "us," or "our") governing your access to and use of the Roadside Neighbor mobile applications, website, and related services (together, the "Platform").

By creating an account, accepting these Terms, requesting service, accepting a job, or otherwise using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform. If you accept on behalf of a business, you represent that you have authority to bind it.

1.1 Documents Incorporated by Reference

The following are part of this agreement and are binding on you:

  • Community and Safety Standards Where a specific document conflicts with these Terms, the specific document controls for the subject it covers. Current fee amounts, tow pricing, and Battery Install tier pricing are maintained in the app; the in-app screens control if any number here is out of date.

2Definitions

"Customer" — a User who requests a Service.

"Service Provider" or "SP" — an individual or business that registers to perform Services.

"User" — any person using the Platform.

"Service" — any roadside assistance or transport work requested or performed through the Platform, including jump start, tire inflation ("Air"), tire change, fuel delivery ("Gas"), lockout assistance ("PopLock"), key creation ("New Key"), battery installation, battery testing, winch-out, standard towing, and specialty or trailered transport of recreational vehicles, motorcycles, ATVs, e-bikes, boats, and personal watercraft.

"Job" — a single requested and accepted instance of a Service.

"Base Labor" — the flat labor charge for a Service, or for Battery Installation, the tier-based labor charge under Section 11.3. For towing, the hookup fee is the Base Labor. Base Labor excludes mileage, fuel cost, add-on fees, tips, and taxes.

"Mileage" — the per-mile transport charge. For towing it begins when the tow vehicle departs the pickup location with the Customer's vehicle loaded.

"Add-On Fee" — a supplemental charge listed in Section 11.6. Add-On Fees pass 100% to the Service Provider.

"Platform Fee" — the amounts Roadside Neighbor retains, described in Section 9.

"Late Cancellation Fee" — the fee in Section 15.4 when a Service Provider arrives but the Job does not complete for a reason attributable to the Customer.

"Verification Fee" — the one-time, non-refundable provider fee in Section 20.3.

"Document Verification" — the confirmation that a submitted document appeared facially valid at the time of review. Document Verification does not confirm the substance, accuracy, or ongoing validity of the document, and does not guarantee that any policy, license, or credential is in force at any particular time. "Job Evidence" — the complete evidentiary record for a Job. Photographs are primary evidence. GPS location records are corroborating evidence. Timestamps, messages, receipts, pricing history, and Service Provider reason codes are supplementary evidence. Where evidence conflicts, primary evidence generally controls, and neutral human review resolves any remaining ambiguity.

"Battery Install Tier" — the complexity-based pricing tier assigned to a Battery Installation Job based on the vehicle's year, make, and model (Section 11.3).

"Committed Document" — for PopLock, the document a Customer commits to presenting to the Service Provider after the vehicle is opened (Section 13.2).

"Fuel Deposit" — the $20 refundable deposit charged to the Customer at booking for a Gas Job (Section 9.5).

3Eligibility and Age

You must be at least 18 to create an account, request a Service, or perform a Service. The Platform is not directed to children and we do not knowingly collect information from anyone under 13. Requesting a Service, especially towing, authorizes a third party to take physical custody of a vehicle and creates a payment obligation; a minor cannot lawfully authorize that. You represent that you have the legal capacity to enter a binding contract and are not barred from the Platform by any prior deactivation.

4Account Registration and Security

4.1 Accurate Information

All information you provide must be true, current, and complete, and you must keep it updated.

4.2 Email Verification

You must verify your email before requesting or performing Services. Verification links expire; request a new one in the app.

4.3 Identity Verification

Service Providers must complete identity verification — a government ID plus a live selfie match through our third-party identity partner — before going live. We may require re-verification at any time. Customers may be required to verify identity where fraud indicators are present.

4.4 One Account Per Person

You may hold one Customer account and, separately, one Service Provider account. You may not create multiple accounts, share an account, sell or transfer an account, or re-register after deactivation.

4.5 Account Security

You are responsible for your credentials and all activity under your account. Notify us immediately of unauthorized use. We are not liable for losses from your failure to secure your account.

4.6 Right to Refuse

We may refuse registration, limit features, or deactivate any account at any time, with or without cause, subject to Section 40.

5Roadside Neighbor's Role — Marketplace Only

5.1 What We Are

Roadside Neighbor operates a technology platform that connects Customers who need roadside assistance with independent Service Providers who offer it. That is the entirety of our role.

5.2 What We Are Not

ROADSIDE NEIGHBOR IS NOT A ROADSIDE ASSISTANCE COMPANY, TOWING COMPANY, REPAIR SHOP, LOCKSMITH, MOTOR CLUB, INSURER, INSURANCE BROKER, OR EMPLOYMENT AGENCY. We do not own service vehicles, employ or supervise Service Providers, or provide tools, parts, or equipment.

5.3 The Service Agreement Is Between Users

When a request is accepted, a direct contract for that Job forms between the Customer and the Service Provider. Roadside Neighbor is not a party to it. Nothing here creates an agency, partnership, joint venture, employment, or franchise relationship between us and any User, or between Users.

5.4 No Guarantee of Quality, Availability, or Outcome

We do not guarantee that a Service Provider will be available, that any Job will be accepted, that any Service will be performed correctly or on time, or that any arrival estimate will be met. Background checks and Document Verification reduce risk; they do not eliminate it and are not a guarantee of anyone's character or fitness.

5.5 Screening Is Not Endorsement

Our Document Verification of identity, a background check, an insurance certificate, or a license means only that we received documents that appeared facially valid at review. It is not an endorsement, warranty, or guarantee. Roadside Neighbor does not endorse or vouch for any individual Service Provider.

6Anonymous Matching and Nondiscrimination

6.1 How Matching Works

When a Customer submits a request, the Platform identifies eligible Service Providers by proximity, service capability, equipment, vehicle capacity, licensing, and availability, and presents the request to a limited set of them. Identifying details are withheld from the offer screen until a Job is accepted. This is a deliberate design choice to reduce the opportunity for discrimination in job selection.

6.2 Nondiscrimination

Discrimination on the basis of race, color, national origin, ethnicity, religion, sex, gender identity or expression, sexual orientation, marital status, disability, age, veteran status, or any other protected characteristic is prohibited and is grounds for immediate permanent deactivation. Service Providers must not refuse or cancel because a Customer has a disability, uses a mobility device, or is accompanied by a service animal.

6.3 Reporting

Report discrimination to support@roadsideneighbor.com. We investigate every report and do not require you to confront the other User.

PART II — CUSTOMER TERMS

7Requesting Service

7.1 Submitting a Request

You must provide your location, vehicle information (year, make, and model), the nature of the problem, and a valid payment method. You authorize the Platform to share your location, contact information, vehicle details, and any photographs you submit with the matched Service Provider to complete the Job.

7.2 Customer Notes

You may include an optional note with your request (for example, a gate code, parking details, or vehicle color). Notes are limited to 200 characters, must not include personal contact information, and are shown to the Service Provider only after they accept the Job — not on the incoming offer. Notes are retained as part of the Job Evidence.

7.3 Acceptance Is Discretionary

Service Providers choose which Jobs to accept, and there is no penalty for declining. Submitting a request does not guarantee a match.

7.4 Estimated Arrival Times

Arrival estimates are calculated from live location and traffic data and are estimates only. We are not liable for delay.

7.5 One Active Job

A Service Provider may hold one active Job at a time. A Customer may hold one active request per vehicle.

7.6 Stalled Jobs and Auto-Release

If a Service Provider does not make meaningful progress toward your location within a reasonable time after accepting, the Job may be automatically released back to the network and offered to another Service Provider. You are not charged when this occurs, and Section 15.10 governs your rights during the replacement search.

8Accurate Description; Quotes Are Estimates

8.1 You Must Describe the Situation Accurately

You must accurately describe your vehicle (year, make, model, and where relevant weight, length, and drivetrain) and the condition and location — including whether it is on a highway shoulder, in a structure, in mud, snow, sand, or a ditch, whether the wheels turn, whether it is in gear, whether it has been in a collision, whether it is loaded, and whether it is accessible by a standard tow vehicle.

8.2 A Quote Is an Estimate

The price shown when you book is an estimate calculated from the information you provided. If your description was inaccurate, incomplete, or understated, or if the work required turns out more extensive than described, the quoted price is not binding and you are responsible for the corrected price, subject to the approval process in Section 11.8.

8.3 Size, Weight, and Equipment Limits

Certain Services carry hard limits, including a maximum transported length of 30 feet; vehicles or vessels over 30 feet are not accepted and are referred to licensed marine or commercial transport. Weight and vehicle type determine which Service Providers may receive your request. Misstating length, weight, or condition may mean the Service Provider cannot perform the Job on arrival, in which case a Late Cancellation Fee applies under Section 15.4.

8.4 Right to Decline On Scene

A Service Provider may decline on arrival if the vehicle, load, or scene is unsafe, exceeds their equipment capacity, or materially differs from the description. A Late Cancellation Fee applies in that circumstance.

9Pricing, Platform Fee, and Demand Pricing

9.1 What You Pay

A Job's charges may include a Platform Fee, Base Labor, Mileage, Add-On Fees, fuel cost or Fuel Deposit, a demand multiplier, taxes, and any tip you choose. Everything is itemized in the app before you confirm and on your receipt, except a correction under Section 11.8.

9.2 The $5 Platform Fee

A flat Platform Fee of $5.00 is added to every non-quote Service request. It is separate from Base Labor and is how Roadside Neighbor is paid on a completed Job in addition to its share of Base Labor. New Key is a quote-based Service and instead carries the fee described in Section 12.

9.3 Published Service Pricing (Base Labor)

Base Labor is published in the app and may change. As of the Effective Date it includes, without limitation: Service Base Labor Jump Start $30 Air (tire inflation) $25 Gas (delivery labor) $35 flat, plus Fuel Deposit and Mileage (Section 9.5)

9.4 Mileage

Standard-service Mileage is $2.00 per mile and is paid 100% to the Service Provider. Tow Mileage is set by the in-app state table (approximately $2.75–$6.00 per mile) and is also paid 100% to the Service Provider.

9.5 Fuel Passthrough — Fuel Deposit and Automatic Refund

For Gas, the labor charge is a flat $35 and does not surge. In addition to labor, the Customer is charged a $20 Fuel Deposit at booking as part of the same checkout transaction.

The Service Provider purchases the fuel with their own funds at the station. When the Service Provider uploads the fuel receipt (or, if the receipt is unavailable, a clear photograph of the pump showing gallons dispensed and total charged) and enters the actual fuel cost in the app, the difference between the $20 Fuel Deposit and the actual fuel cost is automatically refunded to the Customer's original payment method. The Service Provider is reimbursed 100% of the actual fuel cost as part of their payout — the Platform takes no share of fuel.

If the Customer's payment method cannot support the Fuel Deposit refund's processing costs, Roadside Neighbor absorbs those costs from the Platform Fee so that the Customer receives the full difference. A standard Gas delivery is 2 gallons — enough to reach a fueling station — not a full tank. Under no circumstance does the Customer bear a fuel cost greater than what the Service Provider actually paid.

9.6 Demand Pricing

A demand multiplier applies to standard-service Base Labor only — never to towing, Gas, New Key, or Battery Install tier surcharges. Current multipliers are 1.5× during peak overnight hours (10:00 PM–5:00 AM local) and 1.25× on weekends. Where a multiplier is applied, it does not exceed the applicable tier cap for Battery Install under Section 11.3. When a multiplier applies it is disclosed before you confirm.

9.7 The Platform's Share of Base Labor

On a completed Job, Roadside Neighbor retains 20% of Base Labor only. We do not take a percentage of Mileage, fuel cost, Add-On Fees, or tips. For towing, because the hookup fee is Base Labor, we retain 20% of the hookup and nothing else.

9.8 Tips

Tips are optional, are never required, may be added by the Customer after completion, and are paid 100% to the Service Provider.

9.9 Taxes

You are responsible for all taxes on a Job other than taxes on Roadside Neighbor's own net income. Where required, taxes are collected at checkout.

10Payment Authorization, Charges, and Chargebacks

10.1 Authorization at Booking

When you confirm, we place a pre-authorization (a hold, not a charge) for the estimated amount, including any Fuel Deposit for a Gas Job. The final charge may be higher or lower, and may be adjusted under Sections 9.5, 11, 15, or 16.

10.2 No Upfront Charge Except Fuel Deposit

You are charged when the Job completes, is cancelled with a fee due, or is closed as a no-show. The Fuel Deposit for a Gas Job is captured as part of the checkout transaction and reconciled at receipt upload under Section 9.5.

10.3 Valid Payment Method Required

Keep a valid payment method on file. If a charge is declined you remain liable, and we may suspend your account, use another method on file, or refer the balance for collection.

10.4 Receipts

An itemized receipt is provided in the app and sent to your email address after every completed Job, and again if a refund is issued. For a Gas Job, the receipt itemizes the Fuel Deposit and the automatic refund of any difference. The in-app receipt is the authoritative record.

10.5 Chargebacks

Contact Us First. If you believe a charge is incorrect, contact us at support@roadsideneighbor.com so we can attempt to resolve the issue promptly before you initiate a chargeback with your card issuer. Many billing questions can be resolved quickly through our dispute process in Section 18.

Investigation. Where a chargeback is filed, Roadside Neighbor will submit the full Job Evidence — including photographs, GPS records, timestamps, pricing history, and confirmation events — to the card issuer through our payment processor. By requesting a Service, you acknowledge that Job Evidence may be collected and used to verify the transaction and respond to payment disputes.

Payout Handling. If a chargeback is filed on a Job for which the Service Provider has already been paid, the payout for that Job may be held or offset from future payouts pending resolution.

Fraudulent or Abusive Chargebacks. Where a chargeback is determined to be fraudulent, abusive, or otherwise inconsistent with these Terms, Roadside Neighbor may recover the disputed amount, applicable chargeback fees, and reasonable collection costs, to the extent permitted by applicable law. Repeated chargebacks or a pattern of abusive chargeback activity may result in suspension or permanent termination at Roadside Neighbor's discretion.

11Service-Specific Terms

11.1 Jump Start and Air

Standard flat-labor Services. Demand pricing may apply. A jump start attempts to get your engine running. A Service Provider who attempts a jump start in good faith is compensated for their work regardless of outcome. If your battery cannot hold a charge after the attempt, if the vehicle will not start due to a non-battery electrical issue, or if the failure is otherwise due to a vehicle component rather than Service Provider error, the full charge applies under Section 17.4. An unsuccessful jump start may indicate a deeper vehicle issue and you should consider requesting a tow or arranging shop diagnosis.

11.2 Fuel Delivery (Gas)

Governed by Section 9.5. The Service Provider enters the fuel price in the app based on the fuel receipt or, if unavailable, a clear photograph of the pump showing gallons dispensed and total charged. If neither is provided, no fuel cost is charged to the Customer and no fuel reimbursement is paid to the Service Provider. If the entered price appears incorrect, flag it in the app and the Service Provider will be prompted to re-enter it.

11.3 Battery Installation — Three-Tier Model

Battery Installation is a customer-supplied-battery Service. You purchase your own battery; the Service Provider installs it. Neither Roadside Neighbor nor the Service Provider is responsible for the performance, condition, warranty, fitment, or failure of a battery you supplied.

Tier-Based Pricing. Battery Installation Base Labor is determined by the complexity of accessing and installing a battery in your vehicle. The Platform assigns a tier automatically based on the vehicle's year, make, and model:

Tier caps limit the maximum labor charge after any applicable demand multiplier. Add-On Fees, Mileage, the Platform Fee, and any tip are additional and are calculated as described in Section 9.

On-Scene Tier Correction. If, on arrival, the Service Provider determines that the assigned tier does not match the actual installation complexity for your vehicle (for example, a previous owner relocated the battery), the Service Provider may request a tier adjustment through the app. The proposed new tier and price are displayed to you for in-app approval before any adjusted charge is applied. If you approve, the price is adjusted and the Job proceeds. If you decline, the Job cancels under the applicable cancellation rules in Section 15. Battery Test. Battery testing is an optional $12 add-on.

Programming Not Included. Battery programming is not a Service offered by Roadside Neighbor. See Section 11.10.

11.4 Lockout Assistance (PopLock)

Lockout assistance is offered as two separate services selected by the Customer at booking. Wedge Entry ($45) uses non-destructive wedge and long-reach tools. Locksmith ($65) uses professional locksmith tools including picks, Lishi, or electronic equipment. The Customer selects the method at booking. Roadside Neighbor does not guarantee that every vehicle is compatible with wedge-entry service. Vehicle manufacturers may use security systems or locking mechanisms that require specialized locksmith equipment. If the selected method cannot open the vehicle, the Late Cancellation Fee under Section 15.4 applies and the Customer may submit a new request for a different method at its applicable rate. Vehicle entry carries an inherent risk of damage to weatherstripping, door frames, glass, paint, alarm systems, and electronic modules, particularly on modern vehicles. You acknowledge this risk when you request the Service.

Ownership verification for PopLock is governed by Section 13.

11.5 Winch-Out

Winch-out requires you to submit photographs of the vehicle and its position before dispatch. It extracts a vehicle from mud, snow, sand, or a ditch; it does not include transport. If the vehicle cannot be driven afterward, a separate tow is required and priced separately. Recovery carries inherent risk to the vehicle. You acknowledge this risk when you request the Service.

11.6 Towing, Transport, and Add-On Fees

Towing is available in all 50 states through qualified Service Providers. Tow Base Labor (hookup) and Mileage are set by the in-app state table. The following Add-On Fees are charged to the Customer and pass 100% to the Service Provider:

You must specify a destination and are responsible for ensuring it will accept the vehicle. You must remove personal property, pets, and passengers before transport unless the Service Provider permits otherwise; neither Roadside Neighbor nor the Service Provider is responsible for personal property left in a towed vehicle.

11.7 New Key

See Section 12.

11.8 Additional Charges and Price Corrections

Additional charges apply where the Service actually required exceeds what was described. A Service Provider requesting a charge above the original estimate must submit photographic and written support through the Platform; unsupported requests are denied, and approved increases appear on your receipt as "Additional Charges." Except where you already authorized the work in the app, increases above the estimate require your in-app approval before the work proceeds; if you decline, the Job may close with a Late Cancellation Fee under Section 15.4. Battery Install tier corrections are governed separately under Section 11.3.

11.9 No Diagnostic or Repair Warranty

Services are roadside assistance, not vehicle repair. No Service Provider is providing a diagnosis, a repair, or a warranty of vehicle condition or roadworthiness. After any roadside Service, have your vehicle inspected by a qualified repair facility.

11.10 Battery Programming Disclaimer and Customer Responsibility

ROADSIDE NEIGHBOR DOES NOT PERFORM BATTERY PROGRAMMING OR BATTERY REGISTRATION. Certain vehicles — including but not limited to BMW (2002+), Mercedes-Benz (2008+), Audi (2010+), Volkswagen (2012+), Volvo (2014+), Land Rover and Range Rover (all years), Mini (all years), Porsche (all years), and Jaguar (2010+) — require battery programming or registration by an authorized dealer or qualified shop after a battery is installed. This is a vehicle-manufacturer requirement, not a Platform requirement.

The Customer is solely responsible for arranging programming with an authorized dealer or qualified shop after installation. Neither Roadside Neighbor nor any Service Provider performs this service. Failure to program a vehicle that requires programming may cause charging system damage, alternator failure, reduced battery life, electrical damage, or void manufacturer warranties. You acknowledge that Roadside Neighbor is not liable for any damage, warranty issues, battery failure, or vehicle failure resulting from unperformed programming.

Where a vehicle appears on the advisory list above, the Platform displays a hard-stop disclosure screen before your request can be submitted. You must affirmatively acknowledge the disclosure before proceeding; the acknowledgment is timestamped and retained as part of the Job Evidence. In Spanish-language mode, the disclosure is presented bilingually for comprehension, with the English version controlling as the legal record. The advisory list may be updated in-app as vehicle programming requirements change; the in-app list is authoritative.

12New Key — Quote-Based Service

12.1 How It Works

New Key is a quote-based Service, not a fixed-price one. You post a request; verified locksmiths submit quotes; you choose one.

12.2 Quote Validity and Selection

Quotes are valid for 24 hours and then expire. Your selection is pending until the locksmith confirms acceptance. If the locksmith declines or cancels, fresh quotes are collected at no charge and without a new request. The price is final at selection.

12.3 New Key Platform Fee

The $5 Platform Fee in Section 9.2 does not apply to New Key. Instead, a flat $10 Platform Fee is deducted from the locksmith's quoted price, and the locksmith nets the remainder. Mileage and any tip are paid 100% to the locksmith. Where multiple keys are requested, the locksmith's quote is on a per-key basis, and the total charge is the per-key quote multiplied by the number of keys requested.

12.4 Cancellation

If you cancel a New Key Job after the locksmith has confirmed and is en route, the en-route cancellation fee in Section 15.3 applies ($20 total; $5 to the Platform, $15 to the locksmith).

12.5 Locksmith Supplies the Key — Customer-Supplied Keys Prohibited

For every New Key Job, the locksmith supplies the key blank, fob, programming hardware, and any other equipment required to make the requested key(s). Customers may not supply their own keys, key blanks, or fobs to the locksmith. The locksmith's quote includes all such supplies.

At quote submission, the locksmith attests in-app that they will supply the key(s) for the Job. If, on arrival, the Customer attempts to supply their own key, the locksmith may cancel the Job as a Late Cancellation under Section 15.4. The Customer pays the Late Cancellation Fee; no strike is assessed to the locksmith. The Customer may then submit a new request; a locksmith supplying the key will bid a new quote.

This rule exists to prevent avoidable failures on-scene: the vast majority of customer-supplied keys are incorrect for the specific vehicle year, make, model, or immobilizer configuration, resulting in wasted trips and disputes.

13Vehicle Ownership and Authorization Verification

13.1 Attestation and Vehicle Relationship

By requesting lockout assistance, New Key, or towing, you represent and warrant that you are the registered owner of the vehicle or are expressly authorized by the owner.

For PopLock Jobs, before your request is submitted, you must indicate the relationship between you and the vehicle:

  • Mine — you are the owner or a person named on the registration.
  • Borrowed — the vehicle belongs to another person who has given you express permission to access it. You must provide the owner's full name and your relationship to the owner (for example, "my roommate," "my mother").
  • Rental — the vehicle is a rental. You must provide the name of the rental company. Before you confirm, the Platform will display a one-time notice that many rental companies provide lockout service free of charge and you may wish to contact the rental company first.

For each relationship, you must affirmatively acknowledge an authorization attestation, which is timestamped and retained as part of the Job Evidence. In Spanish-language mode, the attestation is presented bilingually for comprehension, with the English version controlling as the legal record.

13.2 Committed Document — Verified On-Scene

For PopLock Jobs, no photograph of an ownership document is required at booking, because the Customer is by definition locked out of the vehicle and cannot access documents kept inside. Instead:

  • At booking, the Customer commits to one of the following documents, which will be verified after the Service Provider opens the vehicle:
  • Mine or Borrowed — vehicle registration OR proof of insurance. - Rental — the rental agreement (on the Customer's phone or inside the vehicle) is the committed document.
  • After opening the vehicle, the Service Provider requests the Committed Document and performs a name-match attestation, confirming that the Customer's government-issued photo identification matches the name on the Committed Document or, for Borrowed and Rental Jobs, matches the Customer's account holder name (with the Committed Document confirming vehicle authorization rather than personal ownership).
  • The Service Provider does not photograph or store the driver's license image; only the name-match result is recorded. The Committed Document is captured as part of the Job Evidence in accordance with Section 13.3.

For New Key Jobs, the pre-booking documentary requirements in place before this version continue to apply as described in the in-app onboarding for the Service.

If the Customer cannot produce the Committed Document after the vehicle is opened, the Service Provider is instructed to allow the Customer a reasonable opportunity to locate it (glove box, phone, email for a rental agreement). If the Committed Document cannot be produced, the Service Provider may cancel the Job as a protected safety cancellation; no strike is assessed to the Service Provider, and the Customer is charged the Late Cancellation Fee under Section 15.4. The Committed Document commitment made at booking is not swappable on-scene.

13.3 Retention and Access

Ownership verification records — including the Committed Document, name-match result, relationship type, and authorization attestation timestamp and language — are retained by Roadside Neighbor as a permanent Job record for disputes, damage claims, law enforcement requests, and fraud investigations, subject to the retention limits in our Privacy Policy. Records are stored in a private, encrypted location. Ownership verification records are never visible to the Service Provider after the Job closes and do not appear in any Service Provider's job history. Access to these records is limited and logged.

13.4 False Attestation

Falsely attesting to ownership or authorization is grounds for immediate permanent deactivation and may be reported to law enforcement. You agree to indemnify Roadside Neighbor and the Service Provider in full for any claim arising from a false attestation, including claims by the true owner and claims arising from vehicle theft.

13.5 Borrowed Vehicles — Owner Authorization

For a Borrowed vehicle, you represent and warrant that the person you have named as the owner is in fact the owner (or a person legally authorized to grant access) and that they have given you express and current permission to access the vehicle by the means requested (for example, PopLock). You acknowledge that the vehicle registration may show the owner's name and not yours — this is expected, and the Service Provider will verify the name-match against your account name rather than against the registration. You agree that if the owner disputes your authorization, you are solely responsible, and you fully indemnify Roadside Neighbor and the Service Provider under Section 13.4 and Section 37.

13.6 Rental Vehicles — Authorized Driver

For a Rental vehicle, you represent and warrant that you are an authorized driver on the applicable rental agreement, that the rental is current, and that the rental company has not restricted, suspended, or revoked your authorization. You acknowledge that many rental companies provide lockout, tow, and roadside services free of charge under the rental agreement and that you may prefer to use those services; the Platform's one-time notice under Section 13.1 is provided for your convenience and does not create any obligation on Roadside Neighbor. You agree that any liability, restitution, or rental-company charge arising from your use of Platform Services on the rental vehicle is your responsibility, and you fully indemnify Roadside Neighbor and the Service Provider under Section 13.4 and Section 37.

14Completion, Confirmation, and Auto-Confirm

14.1 Completion and Confirmation

The Service Provider marks the Job complete, and you confirm completion in the app.

14.2 24-Hour Auto-Confirm and Extraordinary Circumstances If you do not confirm within 24 hours of the Service Provider marking the Job complete, the Job auto-confirms and the charge is finalized. This is not a waiver of your right to raise a dispute under Section 18. Roadside Neighbor may extend the 24-hour window or reopen an auto-confirmed Job in extraordinary circumstances where the Customer was unable to respond, at our reasonable discretion.

14.3 Required Documentation Gates Completion

The Platform requires photographic evidence to complete certain Services. Before-and-after photographs are mandatory for tire change and Battery Installation. For New Key, before, during (cut keys next to the VIN), and after (Customer holding all keys with vehicle in frame) photographs are mandatory. For Gas, a fuel receipt is mandatory for Fuel Deposit reconciliation and Service Provider payout; if a receipt is unavailable, a clear photograph of the pump showing gallons dispensed and total charged is an acceptable substitute. No receipt and no acceptable pump photograph means no fuel cost is charged to the Customer and no fuel reimbursement is paid to the Service Provider. A tester photograph plus voltage and verdict are mandatory for a battery test. Photographs are timestamped and location-tagged.

A Service Provider cannot mark a Job complete without the required evidence. Where the app cannot capture required evidence due to a device or connectivity failure, the Service Provider may submit alternate documentation through the support process.

15Cancellations, Late Cancellation Fees, and No-Shows

This section governs what you are charged when a Job does not complete. All amounts and splits are final.

15.1 Free Cancellation Window

You may cancel any Job free of charge within 3 minutes of a Service Provider accepting it. $0 is charged and the $5 Platform Fee and any Fuel Deposit are fully refunded.

15.2 The Platform Fee on Cancellations

On any cancellation with a fee due, the $5 Platform Fee from Section 9.2 is refunded; the Platform's compensation comes from the flat $5 built into the cancellation fee below. You are not charged both.

15.3 Cancellation After the Free Window, Before Arrival

If you cancel after the 3-minute window and before the Service Provider arrives, a fee of $20 applies — $5 to the Platform, $15 to the Service Provider — for all Services. Any Fuel Deposit is fully refunded.

15.4 Late Cancellation Fee — Service Provider Arrived

If the Service Provider arrives and the Job does not complete for any reason attributable to you — you cancel on scene, you are not present, the vehicle is not present, you refuse the Service, you cannot produce the Committed Document under Section 13.2, you attempt to supply your own key on a New Key Job under Section 12.5, or the vehicle or scene materially differs from your description — a Late Cancellation Fee of $35 applies — $5 to the Platform, $30 to the Service Provider. Arrival is indicated by GPS and subject to reasonable review of the Job Evidence. Tow and winch variations are in Section 16.

15.5 Reason Codes

When a Service Provider reports that a Job cannot be completed, they must select a specific reason — for example, tire will not hold air, battery will not hold a charge, vehicle has damage preventing service, vehicle is inaccessible, vehicle exceeds equipment capacity, vehicle differs from description, vehicle requires locksmith method (wedge jobs), Committed Document not produced, customer-supplied key attempted, or unsafe conditions. You will be shown the reason and the applicable fee and asked to confirm or dispute before you are charged.

15.6 Mid-Job Cancellation — Flat-Labor Services

Once physical work on a flat-labor Service has begun, the Service is considered initiated. If you cancel after work begins, the full Service price applies, paid under the normal 80/20 split. Required photographs serve as evidence of the Service; they do not determine when payment is earned — initiation of work does.

15.7 Gas After Fueling

If you cancel after the Service Provider has begun fueling, a fee of $35 applies — $5 to the Platform, $30 to the Service Provider — plus the actual fuel cost is retained from the Fuel Deposit and paid to the Service Provider as reimbursement. Any remainder of the Fuel Deposit is refunded to the Customer. No Mileage is charged.

15.8 No-Show

If the Service Provider arrives and cannot locate or contact you, they report the issue and you are given an 8-minute countdown with an alert and in-app messaging. If you do not respond within 8 minutes and the Service Provider confirms the no-show:

15.9 Cancellation by the Service Provider or by Us

If a Service Provider cancels before arrival, you are charged nothing and we attempt to re-match you. If a Service Provider fails to make meaningful progress toward your location, the Job may be auto-released to another provider at no charge to you. We may cancel any Job if we identify fraud indicators, a safety risk, or a licensing or insurance lapse. Provider-fault situations are governed by Section 17.3.

15.10 Full Refund During a Replacement Search

Where a Service Provider fails to make meaningful progress or otherwise abandons a Job before arrival and the Platform initiates a search for a replacement Service Provider, the Customer is notified in-app that a replacement is being sought. If, during the replacement search, the Customer chooses to cancel rather than wait, the Customer receives a full refund of the entire transaction, with no cancellation fee and no Platform Fee retained. Any Fuel Deposit is fully refunded. This is a platform-failure scenario and the Customer bears no cost.

If no replacement Service Provider is found within a reasonable period, the Job closes automatically with a full refund on the same terms.

16Tow and Winch Cancellation Rules

Towing has its own rules because the Base Labor (hookup) is earned at loading and Mileage is earned only once the vehicle actually moves.

16.1 Arrived, Not Yet Loaded

If you cancel after the tow Service Provider arrives but before the vehicle is hooked and loaded, the standard Late Cancellation Fee of $35 applies — $5 to the Platform, $30 to the Service Provider.

16.2 Loaded, Never Departed

If the vehicle is hooked and loaded but you cancel before it leaves the pickup location, you are charged the $35 Late Cancellation Fee plus the hookup fee. The Platform receives $5 plus 20% of the hookup; the Service Provider receives $30 plus 80% of the hookup. No Mileage is charged because the vehicle did not travel.

16.3 Loaded and Moved Any Distance

If the vehicle is loaded and the tow vehicle departs pickup, you are charged the $35 Late Cancellation Fee, plus the hookup fee, plus Mileage measured from pickup to wherever the vehicle is dropped (set by the GPS drop location). The Platform receives $5 plus 20% of the hookup; the Service Provider receives $30 plus 80% of the hookup plus 100% of the Mileage. The GPS drop pin sets the final mileage and closes the Job. Wherever the vehicle is dropped becomes the effective destination. The Service Provider must capture a GPS-pinned drop photograph before the Job can close.

16.4 Completed Tow

On a completed tow you are charged the hookup fee plus Mileage plus the $5 Platform Fee. The Platform receives 20% of the hookup; the Service Provider receives 80% of the hookup plus 100% of the Mileage plus any tip.

16.5 Summary

17Universal Fee Principles, Component Failures, and Provider Fault

17.1 Charges Follow the Stage of Service

Roadside Neighbor earns a commission on successful Jobs. When a Customer causes a cancellation, the Service Provider keeps the labor already performed. Charges are always based on the stage of Service completed at the time of cancellation.

17.2 No Fee Avoidance by Stopping Work

Customers may not avoid applicable fees by instructing a Service Provider to stop after a Service has begun. Charges are based on the stage of Service already completed at the time of the instruction.

17.3 No Fee Where the Provider Is at Fault

No cancellation, Late Cancellation, or Service fee applies where a Service is not completed due to Service Provider error or misconduct. This includes, without limitation: hooking, servicing, or attempting to service the wrong vehicle; damaging the vehicle; lacking the equipment, license, or ability to perform the accepted Service; or abandoning the Job. In these cases the Customer is charged nothing, and the incident is reviewed under Section 18, which may result in penalty or deactivation of the Service Provider. A claim of provider fault does not automatically avoid a fee; it is resolved by Job Evidence review.

17.4 Component Failures Are Not Provider Fault

Where a Service is performed and the underlying vehicle component fails to hold the result — a tire that will not retain air after inflation, a battery that will not hold a charge after a jump start, a battery that fails after customer-supplied installation, a vehicle that will not start after a good-faith jump start attempt due to a non-battery electrical issue — the Service is considered performed and the full charge applies. The Service Provider is not responsible for the condition of Customer-supplied components, pre-existing vehicle defects, or the failure of a vehicle component to respond to a properly performed Service. Where applicable, Service Providers document the failure using photographic evidence (for example, gauge readings before and after inflation) as part of the Job Evidence.

17.5 Battery Install Tier Corrections

Where a Service Provider requests an on-scene tier correction under Section 11.3 and the Customer declines the corrected price, the Job cancels under Section 15's applicable rule. Where a Customer disputes an assigned tier after Job completion, the dispute is reviewed under Section 18 with Job Evidence including the Service Provider's photograph of the actual battery location and installation complexity.

18Disputes, Refunds, and Evidence Review

18.1 Contact Us First

If you are dissatisfied with a Job or a charge, contact us at support@roadsideneighbor.com within 14 days. When a dispute is opened, the Job closes and enters review, and the Service Provider's payout for that Job is held until the review concludes.

18.2 Required Evidence Gates Completion

Every Service that requires photographic evidence cannot be marked complete without it. The app refuses completion until the required photographs are uploaded — no photos, no completion, no payout. This removes the most common source of disputes: a Job cannot reach a billable state without the evidence that would resolve a dispute about it.

18.3 Neutral Evidence-Based Review

Where required evidence is present, disputes are resolved by neutral review of the Job Evidence. Photographs are primary evidence; GPS records are corroborating; timestamps, messages, reason codes, and pricing history are supplementary. We do not presume either party is right; we decide by what the evidence shows.

18.4 When No Refund Is Owed

No refund is owed where GPS indicates the Service Provider arrived at your stated location and the evidence supports it (the Late Cancellation Fee stands), where the evidence shows the Service was performed as described, where the complaint concerns a part you supplied, where the complaint concerns a risk you expressly acknowledged when booking (entry damage under 11.4, recovery damage under 11.5, unperformed battery programming under 11.10), where the complaint concerns a component failure under Section 17.4, or where a Customer shows a pattern of disputes we reasonably determine to be abusive.

18.5 Provider-Fault Outcomes

Where the evidence shows provider fault under Section 17.3, the Customer is charged nothing (or refunded), and the Service Provider is subject to penalty or deactivation under Section 25.

18.6 What We Do Not Do

Roadside Neighbor does not arbitrate, mediate, adjudicate, or insure claims of property damage or personal injury between Users. Our review determines only whether a charge processed through the Platform is adjusted. Damage and injury claims are between the Customer and the Service Provider and their insurers. On request we will provide both Users and their insurers with the Job Evidence.

18.7 Refund Method

Approved refunds are issued to the original payment method; bank posting times are outside our control. Automatic Fuel Deposit refunds under Section 9.5 are issued to the original payment method without requiring a support request.

19Customer Conduct and Safety

If you are in immediate danger, injured, or in an unsafe location, call 911 before using this Platform. Where safe, remain with your vehicle with hazard lights on, stay out of travel lanes, and do not attempt repairs you are not qualified to perform. You must treat Service Providers with respect; harassment, threats, intimidation, discrimination, weapons displayed at a Job site, unsafe intoxication, and requests to perform unsafe or unlawful work are grounds for immediate deactivation. Arranging payment or work off the Platform is prohibited — it removes the Job Evidence record, payment protection, insurance verification, and dispute process, and is grounds for deactivation of both parties.

PART III — SERVICE PROVIDER TERMS

Sections 20 through 26 apply only to Service Providers and are supplemented by the separate Service Provider Agreement. Where the two conflict, the Service Provider Agreement controls.

20Provider Eligibility, Verification Fee, and Background Checks

20.1 Requirements

To be activated you must be at least 18, be legally authorized to work in the United States, hold a valid driver's license, complete identity verification (Section 4.3), pass a background check, carry the insurance in Section 21, hold the licenses in Section 22, and complete onboarding for each Service you offer.

20.2 Equipment, Capability, and Service Radius

You must possess the equipment for each Service you enable and accurately declare your service vehicle type and maximum tow capacity, which the Platform uses to route Jobs. Accepting a Job you are not equipped to perform is a violation of these Terms. You set a maximum service radius between 1 and 60 miles and may operate under your personal name or a business name. Service Providers offering tire services must carry a digital tire pressure gauge and use it to document tire condition when required by the Platform. Locksmiths accepting New Key Jobs must supply all key blanks, fobs, programming hardware, and other equipment required to complete the Job (Section 12.5).

20.3 Verification Fee — Amount and Non-Refundability

Activation requires a one-time Verification Fee:

THE VERIFICATION FEE IS NON-REFUNDABLE. It is charged when you submit for verification, not when you are approved, and it is not refundable if your background check returns an adverse result, if you fail to complete onboarding, if you never accept a Job, if you are later deactivated, or if you change your mind. Payment does not guarantee approval, activation, any number of Jobs, or any level of earnings.

20.4 Background Check Consent and Scope

Before a background check is run, you must sign a standalone Background Check Disclosure and Authorization, provided separately from these Terms as required by the federal Fair Credit Reporting Act (FCRA). You cannot be activated without it. Screening is performed by Yardstik, a third-party consumer reporting agency, or such other consumer reporting agency as Roadside Neighbor may designate from time to time. Screening includes a Social Security number trace, a national and county criminal search, sex offender registry and global watchlist checks, identity verification, and — for tow Service Providers — a driving record (MVR) check.

20.5 Ongoing Monitoring and Adverse Action

Your background check is subject to continuous monitoring while your account is active; new records may result in review, suspension, or deactivation. If we intend to deactivate or decline you based in whole or part on a consumer report, you will receive a pre-adverse action notice, a copy of the report, a summary of your FCRA rights, and a reasonable period to dispute the report before a final decision, followed by a final adverse action notice.

21Insurance Requirements

21.1 You Must Carry Insurance

You must obtain and continuously maintain, at your expense, the coverage below from an insurer authorized in your state.

21.2 All Service Providers

Minimum $500,000 commercial general liability.

21.3 Tow Service Providers

In addition to $500,000 general liability: commercial automobile coverage and cargo (on-hook) coverage, in the amounts required by your state and by the in-app onboarding.

21.4 Additional Insured, Renewal, and Lapse

You must name Roadside Neighbor LLC as an Additional Insured where required by onboarding and upload a Certificate of Insurance (COI) reflecting it. Upload an updated COI at each renewal. The Platform will alert you 30 days before your COI expiration; if your COI expires without renewal, new Job acceptance will be blocked until a current COI is uploaded. If coverage lapses, is cancelled, or is materially reduced, stop accepting Jobs and notify us immediately. Performing a Job without required coverage is a material breach, grounds for immediate permanent deactivation, and leaves you fully liable for any resulting claim.

21.5 Finding Insurance

Roadside Neighbor may display links to third-party insurance providers as a convenience during onboarding. These are not endorsements, and Roadside Neighbor is not a party to any policy you obtain. You are solely responsible for selecting and maintaining coverage that meets these Terms.

21.6 Roadside Neighbor Provides No Coverage

ROADSIDE NEIGHBOR DOES NOT PROVIDE, BROKER, SELL, ARRANGE, OR GUARANTEE ANY INSURANCE. We perform Document Verification only. We do not confirm a policy is in force for any particular Job or that coverage applies to any particular claim, and we are not liable if your coverage is insufficient, void, denied, or lapsed.

22Licensing, Permits, Safety Equipment, and Compliance

22.1 Licensing

You must hold and maintain every license, registration, permit, and certification required by federal, state, county, and municipal law for the Services you perform. Towing is regulated at the state and often local level; you are solely responsible for any required towing license, consent-tow authority, motor carrier or USDOT registration, storage facility license, and rate filings in every jurisdiction where you operate. Lockout and key creation may require locksmith licensure. Your service vehicle and equipment must be registered, inspected where required, mechanically sound, and appropriate to the Services you accept; tire changes must use correct components to manufacturer specification. Roadside Neighbor performs Document Verification only and does not warrant that your operation is lawful in every jurisdiction.

22.2 Safety Equipment

As an independent operator of your own business, you must comply with applicable federal and state roadway safety standards. This includes wearing an ANSI/ISEA 107 Class 2 or higher high-visibility safety vest at all times while working on or adjacent to a roadway, as required by federal MUTCD standards. Additional safety equipment — including warning triangles, cones, or flares where required by state law — is your responsibility. Repeated failure to meet these standards is grounds for removal from the Platform.

23Independent Contractor Status and Worker Classification

23.1 You Are Independent

You are an independent business, not an employee, agent, joint venturer, partner, or franchisee of Roadside Neighbor. You control when, whether, and how you work, choose which Jobs to accept with no penalty for declining, supply your own vehicle, tools, and equipment, and may work for competing platforms and direct customers.

23.2 No Benefits or Withholding

You receive no employee benefit. We do not withhold income tax, Social Security, Medicare, or unemployment insurance, and are not responsible for workers' compensation for you or your personnel. You are responsible for your own taxes and any required workers' compensation for anyone you engage, and will receive an IRS Form 1099 where required.

23.3 No Authority to Bind

You may not enter any agreement, make any representation, or incur any obligation on behalf of Roadside Neighbor, or hold yourself out as our employee, agent, or representative.

23.4 Classification Indemnity

You agree to indemnify, defend, and hold harmless Roadside Neighbor from any and all claims, liabilities, penalties, interest, taxes, judgments, settlements, and costs including reasonable attorneys' fees arising from: any claim that you or your personnel were misclassified; any claim that Roadside Neighbor was an employer or joint employer; and any claim under employment, wage, anti-discrimination, leave, benefits, unemployment, or workers' compensation law brought by you or your personnel.

24Provider Earnings, Platform Fee, and Payouts

24.1 What You Earn

For each completed Job you earn 80% of Base Labor (Roadside Neighbor retains 20%), 100% of Mileage, 100% of any fuel cost passthrough, 100% of any Add-On Fee, and 100% of any tip. For a completed tow, Base Labor is the hookup fee, so you earn 80% of the hookup plus 100% of Mileage. For a completed Battery Installation, Base Labor is the tier-based amount under Section 11.3. For New Key, the Platform retains a flat $10 from the quoted price and you net the remainder (Section 12.3).

24.2 Minimum Payout Floor

Your payout for any completed Job will not fall below $20, regardless of what the standard calculation produces; where it produces less, Roadside Neighbor absorbs the difference.

24.3 Fees on Cancelled and Non-Completed Jobs

You receive the Service Provider's share of every cancellation, Late Cancellation, and no-show fee as set out in Sections 15 and 16 — generally $15 of a $20 fee and $30 of a $35 fee, plus 80% of any hookup and 100% of any Mileage earned before a tow cancellation. Where a Customer cancels during a Platform-initiated replacement search under Section 15.10, the Service Provider who abandoned the Job receives no share; a replacement Service Provider is compensated for any work actually performed on the replacement Job.

24.4 Payouts — Timing and Method

Payouts are made through our third-party payment processor to the connected account you establish and maintain; you must complete that processor's onboarding, including identity and bank verification, before you can be paid. Earnings for a Job become available after the Customer confirms completion or the 24-hour auto-confirm fires (Section 14.2), and any Job in an active dispute is held until the dispute concludes. Standard payouts are made by automatic transfer to your linked bank account and are free of charge. Standard payouts typically settle within two business days of becoming available.

Instant payouts are available at the Service Provider's option for a fee equal to 2% of the payout amount, with a minimum fee of $1.00, deducted from the payout at the time of transfer. Instant payouts are available only when all of the following are true:

  • The Job has been marked complete;
  • Customer payment has been successfully captured;
  • No chargeback or dispute is pending on the Job;
  • The Service Provider's total available balance meets the $20 minimum payout floor under Section 24.2. Roadside Neighbor may adjust these requirements or the instant-payout fee at any time to prevent fraud, ensure marketplace integrity, or reflect changes in third-party processing costs. Any change to the instant-payout fee applies prospectively to payouts requested after the change takes effect.

24.5 Holds and Offsets

We may hold a payout pending a dispute, a suspected-fraud review, a chargeback, or a documented damage claim, and will tell you why. We may offset against your payouts any amount you owe us, including refunds arising from your conduct, chargebacks, and fees.

24.6 No Earnings Guarantee

Roadside Neighbor makes no representation or guarantee about the number of Jobs you will receive or the amount you will earn. Any figure in marketing material is illustrative, not a promise.

25Provider Conduct, Documentation, and Deactivation

25.1 Accepting and Handling Jobs

Accept only Jobs you are licensed, insured, equipped, and able to perform. Hold one active Job at a time. Follow safe practice and use appropriate warning devices. Wear your safety vest at all times while working on or near a roadway (Section 22.2). Do not perform work you believe unsafe — you may decline on scene, and the Customer is charged the Late Cancellation Fee unless the reason is your fault under Section 17.3. Do not perform repairs outside the requested Service. For a jump start, if the vehicle does not start after a good-faith attempt, complete the Job under Section 11.1 with the appropriate outcome recorded; you are compensated for the attempt.

25.2 Required Documentation

Capture and upload the photographs the Platform requires — before and after where required, fuel receipts (or acceptable pump photographs under Section 14.3), New Key before/during/after photographs, battery-test tester photos with voltage and verdict, tire gauge readings where required, and condition photographs. Completion is gated on these uploads. Falsifying, staging, or reusing photographs is fraud and results in immediate permanent deactivation.

25.3 Job Timeliness

After accepting a Job, make meaningful progress toward the Customer's location. If you cannot make the Job, release it promptly so another Service Provider can be matched. Jobs may be auto-released if progress is not detected, and repeated failures to make progress may result in temporary suspension or permanent deactivation. Where your abandonment triggers a replacement search under Section 15.10 that results in a full Customer refund, you receive no compensation for the abandoned Job.

25.4 Pricing Honesty

Enter fuel costs and other on-scene amounts accurately. Do not request additional charges without genuine cause and supporting evidence under Section 11.8. Do not request Battery Install tier corrections without genuine cause and photographic support under Section 11.3.

25.5 Customer Property and Confidentiality

Do not access, retain, photograph, or disclose a Customer's personal property, information, or vehicle contents beyond what the Job requires. Do not contact a Customer after a Job except to complete it, and do not solicit Customers off-Platform.

25.6 Grounds for Immediate Deactivation

Without limiting Section 40: falsified photographs or documents; performing a Job without required insurance or licensing; a disqualifying background check result; theft or damage to a Customer's property; provider-fault incidents under Section 17.3; harassment, discrimination, threats, or violence; intoxication on a Job; soliciting off-Platform payment; account sharing; failure to wear required safety equipment; and any conduct we reasonably determine endangers a User. Deactivation for any reason does not entitle you to a refund of the Verification Fee (Section 20.3).

26Employees, Subcontractors, and Other Personnel

Any individual who performs a Job — employee, subcontractor, driver, or other personnel — must be separately registered and approved as a Service Provider on the Platform, including their own identity verification and background check. You may not send an unregistered person to perform a Job assigned to you. You are fully and solely responsible for your personnel, including their compensation, taxes, workers' compensation, licensing, conduct, and any harm they cause. Where you operate as a business you may display a company name and logo; the first name of the individual actually performing a Job is displayed to the Customer for safety and identification.

PART IV — PLATFORM, DATA, AND CONTENT

27Location Data and GPS

We collect a Customer's device location when they request a Service, to locate, match, and route the Service Provider. When a Service Provider is online and available, the Platform collects their location continuously, including in the background where permitted, to match nearby Jobs, give Customers a live position and arrival estimate, indicate arrival and completion, and create the Job GPS record.

The Platform records timestamped location events for each Job — acceptance, arrival, departure from pickup, drop location, completion, and route — and retains them as Job Evidence used in disputes, chargebacks, damage and insurance claims, and law enforcement requests. GPS is one form of evidence, subject to reasonable review; where GPS data is unclear, inconsistent, or contradicted by other Job Evidence, disputes are resolved by neutral human review of all available evidence.

The Platform may require a Service Provider to be within a set distance of a location before certain actions can be completed. You may disable location permission at the operating-system level at any time, but doing so will prevent you from requesting or performing Services. Retention is governed by the Privacy Policy and Location Services Terms.

28Photographs, Media, and Evidence

The Platform requires photographs at defined points in a Job, stored with time and location metadata. Job Evidence may be shared with the other User to the Job, with insurers, with payment processors responding to a chargeback, and with law enforcement in response to lawful process. Ownership verification records are retained by Roadside Neighbor and are never visible to Service Providers after Job closure (Section 13.3). Job Evidence is retained in accordance with our Privacy Policy and applicable law; deleting your account does not delete Job Evidence that is subject to an ongoing dispute, investigation, or legal obligation. A Service Provider's logo or avatar is stored and shown to Customers. You grant Roadside Neighbor a worldwide, non-exclusive, royalty-free, sublicensable license to store, reproduce, and use Job Evidence for platform operation, safety, fraud prevention, dispute resolution, and legal compliance. We will not use identifiable Job photographs for marketing without your separate written consent.

29In-App Messaging and Call Handling

The Platform provides in-app messaging between a Customer and Service Provider for the duration of a Job; use it only for the Job. Message threads are deleted after a Job is completed — preserve anything you may need before the Job closes; messages relevant to an open dispute, investigation, or legal hold may be preserved notwithstanding routine deletion. We may access, review, and retain messages for safety, fraud prevention, dispute resolution, and legal compliance. Where call connection is offered, calls may be routed through an intermediary number so personal numbers are not exposed; call metadata may be recorded, and support calls may be recorded where permitted by law.

30Consent to Electronic Communications

30.1 Transactional Communications

By providing your phone number and email, you consent to receive calls, SMS and MMS messages, push notifications, and emails from Roadside Neighbor and its agents relating to your account and Jobs, including messages sent using an automatic telephone dialing system or a prerecorded or artificial voice, at the numbers and addresses you provide, even if your number is on a do-not-call registry.

30.2 Consent Is Not a Condition of Purchase

You are not required to consent to marketing messages to use the Platform. Transactional messages relating to an active Job are a necessary part of the Service and cannot be disabled while a Job is active.

30.3 Marketing and Opt-Out

Marketing messages are sent only where you opt in. Opt out anytime by replying STOP to a text, using an email unsubscribe link, or changing your notification preferences; you may receive one final confirming message.

30.4 Rates, Delivery, and Number Changes

Standard message and data rates apply. We are not responsible for delayed, undelivered, filtered, or misdirected messages. Notify us if you change or relinquish your number.

30.5 Electronic Records

You consent to receive all notices, disclosures, agreements, and records electronically, and agree that electronic acceptance is a valid signature under the federal E-SIGN Act.

31User Content and License

"User Content" is anything you submit — profile information, business details, photographs, messages, reviews, and support communications. You represent it is accurate, yours to submit, non-infringing, and lawful. You grant Roadside Neighbor a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, host, store, reproduce, format, display, and distribute your User Content to operate, improve, secure, and provide the Platform; this survives termination for content already incorporated into Job records, ratings, and aggregate data. Reviews must be honest and based on an actual Job; we do not verify reviews, are not responsible for their accuracy, and do not remove a review simply because it is negative. We may remove any User Content at any time and are not obliged to monitor it. Any feedback you give us may be used without restriction, compensation, or attribution.

32Intellectual Property and Prohibited Uses

The Platform and all of its content, features, functionality, software, and design are owned by Roadside Neighbor or its licensors and protected by law. "Roadside Neighbor" and associated names and logos are our trademarks and may not be used without written permission. We grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use the Platform for its intended purpose; all rights not expressly granted are reserved.

You may not: use the Platform unlawfully; misrepresent your identity, vehicle, licensing, insurance, or a vehicle's or scene's condition; request or perform Services on a vehicle you do not own or are not authorized to access; transact off-Platform; create multiple or shared accounts or re-register after deactivation; scrape, crawl, or use automated means to access the Platform or extract data; reverse engineer the Platform or use it to build a competing product; interfere with, overburden, or disrupt the Platform or attempt unauthorized access; introduce malicious code; send spam through the Platform; harass, threaten, defame, or discriminate against any User; manipulate ratings, reviews, pricing, or matching; or use the Platform to locate, track, or repossess a vehicle without lawful authority.

33Fraud Prevention

Roadside Neighbor uses a combination of automated and manual review to detect and prevent fraud on the Platform, including identity fraud, GPS spoofing, staged or reused photographs, fake or synthetic accounts, off-platform solicitation, and abusive chargebacks. We reserve the right to investigate any suspected fraud, request additional verification from any User, hold or reverse any payout or refund pending investigation, refuse service, and permanently deactivate any account found to have engaged in fraud. Fraud attempts may be reported to law enforcement and, where required, to affected Users.

PART V — LEGAL PROVISIONS

34Disclaimer of Warranties

THE PLATFORM AND EVERYTHING OBTAINED THROUGH IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Platform will be uninterrupted, secure, or error-free; that a Service Provider will be available; that any Service will be performed competently, safely, lawfully, or at all; that any arrival estimate will be met; or that any User's identity, licensing, insurance, or representations are accurate. THE QUALITY AND SAFETY OF ANY SERVICE IS THE SOLE RESPONSIBILITY OF THE SERVICE PROVIDER WHO PERFORMS IT.

Some jurisdictions do not allow certain exclusions, so parts of this Section may not apply to you.

35Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROADSIDE NEIGHBOR AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, arising out of or relating to these Terms or your use of the Platform, under any theory, even if advised of the possibility. WE ARE NOT LIABLE FOR: the acts or omissions of any User; property damage or personal injury arising from any Service; any vehicle damage, including from entry, recovery, towing, loading, or transport; loss of personal property from a vehicle; the failure of any part a Customer supplied; any damage, warranty issue, battery failure, or vehicle failure resulting from unperformed battery programming under Section 11.10; any User's failure to carry insurance; delay or failure to arrive; or any dispute between Users. AGGREGATE CAP. OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF $100 OR THE TOTAL PLATFORM FEES WE RETAINED FROM YOUR JOBS IN THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. NOTHING IN THIS SECTION LIMITS LIABILITY WHERE SUCH LIMITATION IS PROHIBITED BY LAW, INCLUDING FOR GROSS NEGLIGENCE OR WILLFUL MISCONDUCT WHERE APPLICABLE.

36Release Between Users

The Platform is a venue for connecting Users. If you have a dispute with another User, you release Roadside Neighbor and its affiliates, officers, directors, agents, and employees from all claims, demands, and damages of every kind, known and unknown, arising out of or connected with that dispute. If you are a California resident, you waive California Civil Code § 1542, and you waive any analogous provision of any other jurisdiction.

37Indemnification

You agree to defend, indemnify, and hold harmless Roadside Neighbor and its affiliates, officers, directors, employees, agents, and licensors from any and all claims, damages, losses, liabilities, judgments, settlements, penalties, and costs, including reasonable attorneys' fees, arising out of or relating to: your use or misuse of the Platform; your breach of these Terms or any incorporated document; your violation of any law or third-party right; any Service you requested or performed; any bodily injury, death, or property damage caused by your acts or omissions; any misrepresentation about a vehicle, your ownership or authority, your licensing, or your insurance; any false attestation of vehicle ownership or authorization under Section 13, including Borrowed and Rental attestations under Sections 13.5 and 13.6; your failure to carry required insurance or licensing; any claim by or on behalf of your personnel, including the classification claims in Section 23.4; and your User Content.

We may assume the exclusive defense of any indemnified matter at your expense, and you agree to cooperate.

38Third-Party Services and Payment Processing

Roadside Neighbor does not itself process payments. Payment processing, payouts, and identity verification are provided by third-party processors, and by using the payment functions you also agree to be bound by those processors' terms and privacy policies. We are not liable for any act, omission, error, delay, or outage of a payment processor. Service Providers must establish and maintain a connected account with our payment processor; failure or suspension of that account will prevent payouts, and we are not liable for it. The Platform also relies on third-party mapping, messaging, background check, notification, and hosting services we do not control and are not responsible for.

39Mobile Application License and App Store Terms

39.1 License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Roadside Neighbor application on a device you own or control, solely for its intended purpose. You may not sublicense, resell, lease, distribute, modify, create derivative works from, frame, mirror, reverse engineer, or use the application to build a competing product.

39.2 Apple App Store

For any copy obtained from the Apple App Store: This agreement is between you and Roadside Neighbor only, not Apple. Roadside Neighbor, not Apple, is solely responsible for the application and its content. You may use it only on an Apple-branded device you own or control and as permitted by the Apple Media Services Terms. Apple has no obligation to provide maintenance or support. If the application fails to conform to any warranty, you may notify Apple, and Apple will refund the purchase price, if any; to the maximum extent permitted by law Apple has no other warranty obligation, and any other warranty claim is Roadside Neighbor's responsibility. Apple is not responsible for any claim relating to the application, including product liability, legal or regulatory conformity, and consumer protection or privacy claims. Roadside Neighbor, not Apple, is responsible for addressing any third-party intellectual property infringement claim relating to the application. You represent you are not in a U.S.-embargoed country and not on any U.S. prohibited-party list. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

39.3 Google Play

Any copy obtained from Google Play is also subject to the Google Play Terms of Service. Google is not a party to these Terms.

40Term, Suspension, and Termination

These Terms remain in effect while you use the Platform and until terminated. You may close your account anytime; doing so does not relieve obligations already incurred. We may suspend or terminate your access at any time, with or without cause and with or without notice, including for breach, safety risk, fraud, or a lapsed background check, insurance, or licensing condition. On termination your right to use the Platform ceases, you may not create a new account, amounts owed remain due, payouts for completed Jobs release subject to Section 24.5, and the Verification Fee is not refunded. Sections 2, 5, 13.4, 17, 18.6, 20.3, 23, 28, 31, 32, 33, and 34 through 46 survive termination.

41Governing Law, Venue, and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

41.1 Governing Law

These Terms and any dispute arising from them are governed by the laws of the State of Florida and applicable federal law, without regard to conflict-of-law principles.

41.2 Informal Resolution First

Before starting arbitration, you must send a written Notice of Dispute to Roadside Neighbor LLC, Orlando, Florida, Attn: Legal, describing the dispute and relief sought and including your name, account email, and a phone number. We will do the same before initiating against you. The parties will attempt in good faith to resolve the dispute for 60 days, during which the statute of limitations is tolled. This is a condition precedent to arbitration.

41.3 Agreement to Arbitrate

If unresolved after 60 days, you and Roadside Neighbor agree that all claims arising out of or relating to these Terms, the Platform, or any Service — whether in contract, tort, statute, fraud, or otherwise — will be resolved exclusively by final and binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules (or, for Service Provider claims, its Commercial Arbitration Rules), as modified by this Section.

41.4 Arbitrator and Procedure

Arbitration is before a single arbitrator, applies Florida law consistent with the Federal Arbitration Act, and honors applicable limitations periods and privilege. For claims of $25,000 or less, arbitration is on written submissions only unless the arbitrator determines a hearing is necessary. For larger claims, any hearing is held in Orange County, Florida, by video, or at a location reasonably convenient to the consumer, at the arbitrator's discretion.

41.5 Class Action Waiver

YOU AND ROADSIDE NEIGHBOR AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate claims or preside over any representative proceeding. If this paragraph is found unenforceable as to a particular claim, that claim — and only that claim — is severed and proceeds in court; the remainder of this Section stays in effect.

41.6 Mass Arbitration Protocol

If 25 or more similar demands are filed by or coordinated through the same counsel or organization, they will be administered in staged batches of no more than 50, with each batch's outcomes used to attempt global resolution before the next proceeds; the statute of limitations is tolled for claimants in later batches.

41.7 Exceptions and Opt-Out

Either party may bring a qualifying individual claim in small claims court, and either may seek injunctive relief in court to protect intellectual property, confidential information, or to prevent unauthorized Platform access. Nothing here prevents you from filing with a government agency.

You may opt out of this arbitration agreement by sending written notice within 45 days of first accepting these Terms to Roadside Neighbor LLC, Orlando, Florida, Attn: Arbitration Opt-Out, stating your name, account email, and that you are opting out. Opting out does not affect any other part of these Terms and will not disadvantage you.

41.8 Costs, Venue, and Survival

Where required by AAA rules or where you show arbitration costs would be prohibitive compared to litigation, we will pay the fees the arbitrator deems necessary to prevent it from being cost-prohibitive. Any judicial proceeding not subject to arbitration must be brought exclusively in the state or federal courts in Orange County, Florida, and you consent to their jurisdiction and venue. This Section survives termination; except as stated in 41.5, if any part is held invalid the remainder stays in effect.

42Limitation on Time to File Claims

ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER IT ACCRUES, OR IT IS PERMANENTLY BARRED, except where a longer period is required by law.

43Force Majeure

Neither party is liable for any failure or delay in performance under these Terms caused by any event beyond its reasonable control, including natural disasters (hurricanes, earthquakes, floods, severe weather), war, terrorism, civil unrest, labor action, cyberattacks, failures of internet or telecommunications infrastructure, outages of payment processors, cloud service providers, or third-party APIs, governmental action, or public health emergencies. During such an event, obligations are suspended for the duration and to the extent of the event, and each party will use reasonable efforts to resume performance.

44Geographic Scope and Changes to These Terms

44.1 Geographic Scope

The Platform is operated from and intended for use only within the United States. We make no representation that it is appropriate or available for use elsewhere.

44.2 Changes

We may modify these Terms at any time. Material changes will be notified through the Platform, by email, or by requiring re-acceptance, at least 14 days before they take effect, except where a change is required by law or addresses a security issue, in which case it may take effect immediately. Continued use after the effective date constitutes acceptance. Changes do not apply retroactively to a dispute of which we had notice before the change, and changes to Section 41 do not apply to a dispute for which a Notice of Dispute was already served.

45Miscellaneous

Entire Agreement. These Terms and the incorporated documents are the entire agreement on this subject and supersede all prior agreements.

Severability. An invalid provision is limited or severed to the minimum extent necessary; the remainder stays in force.

No Waiver. Our failure to enforce any provision is not a waiver.

Assignment. You may not assign these Terms without our consent. We may assign freely, including to an affiliate or in a merger, acquisition, financing, or sale of assets.

Notices. We may give notice by in-app message, push, email, or mail to your account address. Keep your contact information current. Notices to us go to Roadside Neighbor LLC, Orlando, Florida, Attn: Legal. No Third-Party Beneficiaries. Except for Apple under Section 39.2 and the indemnified parties in Section 37, these Terms create no third-party beneficiary rights.

English Controls. The English version controls over any translation, including Spanish translations of in-app disclosures and attestations.
